1. Preamble and acceptance
The website available at nasdrow.com (the « Site ») is jointly operated by:
- 9506-8847 Québec inc., doing business as Nasdrow, a company duly incorporated under the laws of the Province of Québec, Canada, registered under Québec enterprise number (NEQ) 1179405890, with its head office at Unit #523 – 3450 Saint-Denis Street, Montréal, QC H2X 3L3, Canada; and
- Nasdrow SAS, a simplified joint-stock company (société par actions simplifiée) organized under French law, registered with the Trade and Companies Register (RCS) under SIREN number 942035940, with its registered office at 5 rue Fénelon, 33000 Bordeaux, France,
(together, Nasdrow, we, us, or our).
By accessing or using the Site in any way, you (the User, you) acknowledge that you have read, understood, and unconditionally accepted these Terms of Use (the Terms). If you do not accept these Terms, please do not use the Site.
These Terms apply to all visitors to the Site, regardless of their place of residence, subject to the territorial clarifications set out in Section 10.
2. Purpose and description of the Site
The Site is an informational, brand-showcase site. Its purpose is to present the Nasdrow brand and its products (ready-to-drink mocktails/cocktails with no added alcohol), its story, and its points of sale, and to allow:
- browsing information about Nasdrow products (Espresso Martini Kick, Margarita Salsa, Mojito Fusion, Scarlet & Co, and future products);
- locating authorized points of sale and distributors (« Where to find us »);
- subscribing to our newsletter;
- participating in our flavor co-creation initiative;
- contacting our team.
The Site does not allow the direct purchase of Nasdrow products. Any reference to a point of sale, retailer, or external link redirects the User to a third party (grocery store, retailer, partner platform) with whom the transaction takes place. Nasdrow is not a party to these transactions, which are governed by the terms of sale specific to each retailer. We encourage you to review the applicable retailer's terms of sale, return policy, and privacy policy before making any purchase.
3. Nature of the products and disclaimer
Nasdrow products are beverages with no added alcohol. Certain natural flavors and extracts used in the production of some of our products may contain very low residual alcohol content (< 0.5% vol.), below the regulatory thresholds applicable to the « alcohol-free » designation in both Canada and France/EU. This is indicated by an asterisk on packaging and, where applicable, on the Site. Certain products in the range (including upcoming new products) are formulated at 0.0% alcohol.
Our products are intended for an adult audience. Although no law imposes a minimum purchase age for a product with no added alcohol, Nasdrow recommends its products for individuals aged 18 and older, given the taste profile of the range — positioned as a festive alternative to alcoholic beverages — and its brand universe, which is designed for an adult audience.
Product information (ingredients, nutritional values, allergens) presented on the Site is provided for informational purposes only. Users should always refer to the labeling on the product packaging, which is the only authoritative source, particularly in the case of allergies or intolerances.
4. Intellectual property
All elements of the Site — text, graphics, logos (including the Nasdrow « bird » logo), images, photographs, videos, layout, database, source code, and, more generally, any content published on the Site — are protected by copyright, trademark law, and other applicable intellectual property rights in Canada, France, and the European Union, and remain the exclusive property of Nasdrow or its licensors.
The NASDROW™ trademark, along with its variants and associated logos, is a registered trademark, protected across multiple classes and jurisdictions, including registration with the World Intellectual Property Organization (WIPO). Any reproduction, representation, use, or filing of this trademark, in whole or in part, without Nasdrow's prior written authorization is strictly prohibited and constitutes infringement.
Any reproduction, distribution, modification, adaptation, or commercial exploitation, in whole or in part, of the Site's content, by any means whatsoever, without Nasdrow's prior written authorization, is prohibited and may result in legal action.
Limited use is tolerated for strictly personal, non-commercial purposes (browsing, printing for private use), provided all intellectual property notices are fully respected.
5. Acceptable use of the Site
By using the Site, you agree not to:
- use the Site for illegal, fraudulent purposes, or purposes contrary to these Terms;
- attempt to gain unauthorized access to all or part of the Site, its servers, or the data hosted therein;
- knowingly introduce viruses, trojans, worms, or any other malicious code;
- extract, copy, or systematically reuse (« scrape ») all or part of the Site's content without written authorization;
- disrupt the proper functioning of the Site or the experience of other users;
- impersonate Nasdrow or any of its representatives.
Nasdrow reserves the right to restrict or suspend access for any User who fails to comply with these commitments.
6. Third-party links and content
The Site may contain links to third-party sites, including our social media accounts (Instagram) and the sites of our retailers and distributors. These links are provided for informational purposes only. Nasdrow does not control the content of these third-party sites and disclaims all liability for their content, availability, privacy practices, or any damage resulting from their use.
7. No warranty and limitation of liability
The Site and its content are provided « as is » and « as available », without warranty of any kind, express or implied, including as to the accuracy, completeness, or timeliness of the information contained therein, or the absence of interruptions or errors.
To the fullest extent permitted by applicable law, Nasdrow shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from:
- the use or inability to use the Site;
- a purchasing decision made on the basis of information appearing on the Site, the purchase being concluded directly with the retailer;
- any interruption, bug, temporary inaccessibility of the Site, or loss of data.
Nothing in these Terms is intended to exclude or limit any liability that cannot be excluded or limited under applicable law, including statutory consumer warranties for French consumers or consumer protection under Québec's Consumer Protection Act (R.S.Q., c. P-40.1).
8. Indemnification
You agree to indemnify and hold harmless Nasdrow, its officers, employees, and representatives from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising from your use of the Site in violation of these Terms or applicable law.
9. Changes to these Terms
Nasdrow reserves the right to modify these Terms at any time, including to comply with any legislative or regulatory changes, or to reflect changes to the Site's features. The version in effect is the one published on the Site, with the last update date indicated. It is the User's responsibility to review the Terms periodically.
10. Governing law and jurisdiction
Given Nasdrow's dual presence (Canada/Québec and France), the governing law is determined as follows:
- For Users residing in Canada (or accessing the Site from Canada): these Terms are governed by the laws of the Province of Québec and applicable federal laws of Canada, excluding conflict of law rules. Any dispute shall be subject to the exclusive jurisdiction of the courts of the judicial district of Montréal, Québec, subject to the public-order rights afforded to Québec consumers, which allow them to bring proceedings before the court of their place of residence.
- For Users residing in France or the European Union: these Terms are governed by French law. Any dispute falls within the jurisdiction of the competent French courts, subject to mandatory consumer-protection provisions allowing the consumer to bring proceedings before the court of their place of residence.
11. Miscellaneous
If any provision of these Terms is found invalid or unenforceable by a competent authority, the remaining provisions shall remain in full force and effect. Nasdrow's failure to enforce any provision shall not constitute a waiver of its right to do so at a later time.
